JOB DESCRIPTION FOR COMPANY SECRETARY – TRAVELTIME GROUP
Corporate Secretarial
1. Drafting of Agenda and Minutes for Board, Committees and General meetings.
2. Preparation of Annual report and coordination with other departments for the same.
3. ROC forms filing with the regulatory authorities in compliance with Ministry of Corporate Affairs.
4. Prepare of draft documents for Event-based activities in the Company
5. Maintaining Statutory Registers, including registers of members, directors, and shareholders
6. Maintaining and filing of documents in physical form, wherever required
7. Ability to strike a balance between compliance/ regulatory constraints and business imperatives & good drafting and communication skills.
8. Drafting, updation of regulatory and business policies/ processes
9. Ensuring compliance monitoring of regulations, processes
10. Be a regulatory interface for the business units and to undertake lobbying with the regulators where clarifications are to be sought or difficulties are to be removed.
11. Drafting applications and seeking regulatory approvals for business proposals.
12. Handling of Audits and Regulatory inspections
13. Monitoring regulatory updates and disseminating the same to all concerned along with action points
14. Promptly alert senior management to significant compliance issues,
15. Provide a proactive and expert compliance advisory service
16. Ensuring effective Coordination with Various stakeholders like Statutory Auditors, Internal Auditors, Secretarial Consultants, Lawyers and carry out successful completion of secretarial and Statutory Audits and other due-diligences.
17. Drafting and vetting of various agreements like Sale & Purchase Agreement, Shareholders’ Agreement, Lease Agreements, Non-disclosure Agreement, Human Resource Consultancy Agreements, Retainership Agreement for Lawyers, Management Agreements, Joint Venture Agreements, Service Agreement, Loan Syndication documents and other contractual documents.
Business Development
1. Research and monitor industry activity and ensure acquisition of bid opportunities.
2. Coordination of bid/tender process.
3. Overall responsibility for proof reading of literature/PQQ’s/bid submissions
4. Manage flow of pre-qualification proposals and drive bid-no-bid process.
5. Ensure compliance of bid activities with corporate strategy.
6. Design, preparation and submission of expressions of interest, pre-qualification questionnaires, tender documents and tender presentations
7. Track and manage submitted tender opportunities and initiate follow up process.
8. Manage and monitor client clarification issue and request, pre and post submission.
9. Preparation and submission of project contractual documents
10. Maintain close liaison with estimating and commercial departments.
11. Liaise with internal and external technical matter experts.
12. To ensure efficient communication of all business development activities to leadership level
13. Research into current and changing legislation applicable to business activities.
Soft Skills
1. Good communication skills (verbal & written) with experience of dealing with executives of all levels including the capacity to articulate the case of regulatory compliances in the language of business.
2. Experience of working in a fast-paced dynamic environment and under pressure.
3. Able to interpret and communicate relevant information with clarity.
4. Good business judgment in handling potentially sensitive business and people issues.
5. Able to manage multiple/conflicting priorities with a strong track record of delivery.
6. A self-starter, need to take initiative and responsibility.
Job Type: Full-time
Salary: ₹100,000.00 – ₹120,000.00 per month
