Qualification: Qualified Company Secretary
Experience: Minimum 1 – 2 years (preferably in a listed NBFC)
Roles & Responsibilities
1. Companies Act, 2013(Act)
· To ensure that business of the company is conducted and managed in accordance with its objects as contained in its memorandum of association and articles of association and the relevant provisions of the Companies Act.
· To prepare the agenda in consultation with the Management and the other documents for all the meetings of the Board of Directors and General Meetings followed by preparation of the Minutes of the meetings.
· To prepare, approve, sign and seal agreements leases, legal forms, and other official documents on the company behalf, when authorised by the Board of the Directors or the executive responsible
· Preparation, creation, modification and release of charge documents.
· Preparation of Board report and Annual Return as per Companies Act, 2013.
· Proper maintenance of books and registers of the company as required under the provisions of the Companies Law.
· Preparation, Certification and Filing of forms, returns and other documents with the Registrar of Companies.
· Maintenance of statutory records & registers under the Companies Act.
· Appraising from time to time any developments / amendments in the Company Law which are applicable to the Company.
2. RBI Regulations
· Preparation and filing of periodical Returns Monthly, Quarterly & Annually with RBI from time to time.
· Ensuring the consideration of mandatory items as required by NBFCs in Board Meeting
· Preparation and filing of various Declarations and forms with RBI
· Responding to the queries raised by RBI from time to time
· Intimation to RBI for event related changes relating to changes in Registered office, Directors, Statutory Auditors etc.,
· Appraising from time to time any change in the regulations which are applicable to the Company
3. Legal
· Monitoring overall adherence of legal processes & compliances.
· Verification/Scrutinizing of property documents in line with Legal report
· Drafting and Vetting of company agreements /deeds/contracts/ Undertaking etc.
· Vetting of Original Documents.
· Provide assistance to team on legal matters
· Drafting replies for all show cause notices and appeals
· Actively involved in various business processes and provide expert opinion on legal aspects
· Ensuring various legal compliances as applicable to listed companies
· Vetting and execution of loan documentation with various lenders / investors for debt and equity raised
· Fulfilling covenants with different lenders / investors from time to time
· Vetting and execution of agreements being entered with vendors / consultants

Salary: ₹35,000.00 – ₹45,000.00 per month
